TERMS AND CONDITIONS OF BUSINESS These Terms and Conditions apply to all services provided by Torus Electrical Limited ("the Company", "we", "us", or "our") to any customer ("the Customer", "you", or "your"). By accepting a quotation, estimate, proposal, or by instructing the Company to commence work, you agree to be bound by these Terms and Conditions. 1. DEFINITIONS "Works" means all electrical installation, maintenance, testing, inspection, repair, certification, EV charger installation, and associated services provided by the Company. "Contract" means the agreement between the Customer and the Company incorporating these Terms and Conditions. 2. QUOTATIONS AND ESTIMATES 2.1 All quotations remain valid for 30 days from the date of issue unless otherwise stated. 2.2 Quotations are based upon the information available at the time of preparation and are subject to site conditions. 2.3 Estimates are provided as guidance only and do not constitute fixed-price offers. 2.4 Any work requested outside the original quotation shall be treated as a variation and may incur additional charges. 2.5 Quotations may be withdrawn prior to acceptance. 3. ACCEPTANCE OF WORK 3.1 Acceptance may be made verbally, electronically, in writing, by email, or by instructing the Company to commence work. 3.2 Once accepted, the quotation and these Terms and Conditions form the Contract between the parties. 4. PRICING 4.1 All prices are exclusive of VAT unless specifically stated otherwise. 4.2 Prices may be adjusted where: Additional works are required. Site conditions differ from those disclosed. Material costs increase significantly prior to commencement. Regulatory requirements necessitate additional work. 4.3 The Company reserves the right to correct clerical or administrative errors. 5. DEPOSITS 5.1 The Company may require a deposit before ordering materials or commencing work. 5.2 Deposits are typically: Domestic projects: Up to 50% of the contract value. Commercial projects: As agreed in writing. 5.3 Deposits are non-refundable where materials have been purchased or costs incurred specifically for the project. 6. PAYMENT TERMS Domestic Customers 6.1 Payment is due immediately upon completion unless otherwise agreed in writing. Commercial Customers 6.2 Payment is due within 30 days from the invoice date unless otherwise agreed. 6.3 Stage payments may be required for larger projects. 6.4 The Company reserves the right to suspend work where payments become overdue. 7. LATE PAYMENT 7.1 Interest may be charged on overdue accounts at 8% per annum above the Bank of England base rate. 7.2 Commercial accounts may also be subject to compensation and recovery costs under the Late Payment of Commercial Debts legislation. 7.3 The Customer shall reimburse all reasonable costs incurred in recovering unpaid sums. 8. RETENTION OF TITLE 8.1 Materials supplied remain the property of the Company until payment has been received in full. 8.2 The Company reserves the right to recover unpaid materials where legally permitted. 9. CUSTOMER RESPONSIBILITIES The Customer shall: Provide safe and uninterrupted access. Ensure adequate electrical supply where required. Remove personal belongings where necessary. Obtain landlord, management company, planning, or third-party permissions where applicable. Inform the Company of known hazards including asbestos or concealed services. Failure to provide access may result in additional charges. 10. ADDITIONAL WORKS AND UNFORESEEN CONDITIONS 10.1 Electrical installations may contain hidden defects that cannot reasonably be identified prior to commencement. 10.2 The Company will notify the Customer of any defects requiring remedial work. 10.3 Additional work shall be chargeable at the Company's prevailing rates unless otherwise agreed. 10.4 Where immediate remedial work is necessary for safety reasons, the Company may carry out such work and charge accordingly. 11. COMPLETION TIMES 11.1 Any completion date provided is an estimate only. 11.2 The Company shall not be liable for delays caused by: Material shortages Supplier delays Adverse weather Restricted access Power outages Third-party contractors Unforeseen site conditions Events beyond reasonable control 12. TESTING, INSPECTION AND CERTIFICATION 12.1 Electrical Installation Certificates (EICs), Minor Electrical Installation Works Certificates, and Electrical Installation Condition Reports (EICRs) will be issued where required by regulations and where payment has been received in full. 12.2 Certificates apply only to the work inspected and tested. 12.3 The Company accepts no responsibility for defects in parts of the installation not inspected or tested. 12.4 Any observations or recommendations contained within reports are advisory unless specifically identified as requiring urgent action. 13. BUILDING REGULATIONS AND NOTIFICATION 13.1 Where applicable, notifiable work shall be carried out in accordance with current Building Regulations. 13.2 Notification will be submitted through the Company's competent person scheme where required. 13.3 The Customer shall provide all information reasonably required to facilitate compliance. 14. EV CHARGER INSTALLATIONS 14.1 EV charger installations are subject to site suitability and network requirements. 14.2 Additional charges may apply where: Consumer unit upgrades are required. Earthing upgrades are necessary. Groundworks or civil works are required. DNO approval is needed. 14.3 Completion dates remain subject to third-party approvals where applicable. 15. WARRANTY 15.1 The Company warrants workmanship for 12 months from practical completion. 15.2 Manufacturer warranties remain subject to the relevant manufacturer's terms. 15.3 Warranty claims must be reported promptly. 15.4 The warranty shall not apply where: Work has been altered by others. Damage results from misuse or neglect. Existing installations not worked on by the Company subsequently fail. Equipment has been overloaded or improperly used. 16. LIMITATION OF LIABILITY 16.1 The Company's total liability shall not exceed the value of the contract sum. 16.2 The Company shall not be liable for: Loss of profit Loss of business Loss of revenue Indirect or consequential losses Damage caused by pre-existing defects 16.3 Nothing within these Terms excludes liability for: Death or personal injury caused by negligence Fraud or fraudulent misrepresentation Any liability which cannot legally be excluded 17. HEALTH AND SAFETY 17.1 The Company reserves the right to refuse or suspend work where conditions are considered unsafe. 17.2 All works shall be carried out in accordance with applicable health and safety legislation. 17.3 Customers must not interfere with temporary safety measures installed during the works. 18. CANCELLATION Domestic Customers 18.1 Consumers may have cancellation rights under applicable consumer legislation where contracts are entered into away from business premises or at a distance. 18.2 Where the Customer requests work to commence during any statutory cancellation period, the Customer may be liable for work completed and materials supplied up to the cancellation date. General 18.3 Cancellation after acceptance may result in charges for: Labour undertaken Materials ordered Design work completed Administrative costs reasonably incurred 19. FORCE MAJEURE The Company shall not be liable for failure to perform its obligations due to circumstances beyond its reasonable control including acts of God, natural disasters, industrial disputes, governmental restrictions, supplier failures, or utility interruptions. 20. DATA PROTECTION 20.1 Personal information shall be processed in accordance with applicable UK data protection legislation. 20.2 Information will only be used for: Providing services Invoicing Certification Regulatory compliance Customer communications 20.3 Information will not be shared with third parties except where necessary to fulfil legal or contractual obligations. 21. COMPLAINTS 21.1 Any complaints should be submitted in writing within a reasonable time of discovery. 21.2 The Company shall be given reasonable opportunity to inspect and rectify any defect before alternative contractors are instructed. 22. TERMINATION 22.1 The Company may terminate the Contract where: Payments remain overdue. The Customer breaches these Terms. Access is repeatedly denied. Health and safety concerns arise. 22.2 The Customer shall remain liable for all work completed and costs incurred up to termination. 23. GOVERNING LAW These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
